Mitria Terms of Service

Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you," "your," "User," "Company," "Customer") and Mitria Inc. ("Mitria," "we," "us," "our"), concerning your access to and use of the Mitria platform, website (mitria.ai), mobile applications, APIs, and all related services (collectively, the "Platform" or "Services").

By accessing or using the Services, creating an account, issuing cards, or authorizing cardholders, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

We reserve the right to make changes to these Terms at any time and for any reason. We will notify you of any changes by updating the "Last Updated" date of these Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms by your continued use of the Services after the date such revised Terms are posted.


1. Definitions

1.1 "Account" means the account created by a Company to access and use the Mitria Platform.

1.2 "Administrator" or "Admin" means an individual authorized by the Company to manage the Company's Account, including but not limited to inviting Cardholders, setting spending limits, managing Approved Vendors, and accessing reporting features.

1.3 "Superadmin" means an Administrator with elevated privileges, typically the primary account holder or business owner, with full access to all Platform features and settings.

1.4 "Approved Vendors" means the list of merchants, service providers, and AI tool companies that have been approved by the Company or Mitria for transactions using Mitria Cards.

1.5 "Card" or "Mitria Card" means a virtual or physical payment card issued through the Platform pursuant to these Terms.

1.6 "Cardholder" means an individual who has been issued a Mitria Card and is authorized to make purchases using such Card.

1.7 "Card Network" means Visa, Mastercard, or any other payment network through which Mitria Cards are processed.

1.8 "Issuing Bank" means the financial institution that issues Mitria Cards in partnership with Mitria.

1.9 "Platform Fee" means the monthly subscription fee charged to the Company for access to the Mitria Platform and Services.

1.10 "Rewards" means any cash back, credits, or other benefits earned through the use of Mitria Cards.

1.11 "Spending Limit" means the maximum amount a Cardholder or Company is authorized to spend within a specified period.

1.12 "Transaction" means any purchase, payment, or other financial activity conducted using a Mitria Card.


2. Eligibility and Account Registration

2.1 Company Eligibility

To be eligible to use the Services, you must:

  • Be a legally formed business entity in good standing in your jurisdiction of incorporation or formation;
  • Be located in and operating within the United States of America;
  • Have a valid Employer Identification Number (EIN) or Tax Identification Number (TIN);
  • Have a legitimate business purpose for using the Services;
  • Not be engaged in any Prohibited Business (as defined in Section 6);
  • Have an authorized representative who is at least 18 years of age and has the legal authority to bind the Company to these Terms;
  • Provide accurate, current, and complete information during the registration process;
  • Maintain a valid bank account in the Company's name for billing purposes.

2.2 Account Registration

To create an Account, you must:

  • Submit an application through our Platform with all required information;
  • Provide documentation as requested to verify your business identity, including but not limited to articles of incorporation, business licenses, and proof of address;
  • Designate at least one Superadmin who will be responsible for managing the Account;
  • Complete our Know Your Business (KYB) verification process;
  • Agree to these Terms and our Privacy Policy.

2.3 Verification

We reserve the right to verify the information you provide and to request additional documentation at any time. We may use third-party services to verify your identity and business information. You authorize us to make any inquiries we consider necessary to validate your identity and business, including checking commercial databases, credit bureaus, or requesting reports from service providers.

2.4 Approval

Account approval is at our sole discretion. We may reject any application for any reason or no reason at all. We are not obligated to disclose the reasons for rejection.

2.5 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to:

  • Create a strong, unique password for your Account;
  • Not share your login credentials with any unauthorized person;
  • Enable multi-factor authentication if available;
  • Notify us immediately of any unauthorized access or security breach;
  • Ensure that all Administrators and Cardholders comply with these security requirements.

3. Card Issuance and Management

3.1 Card Issuance

Subject to your compliance with these Terms and our approval, we will facilitate the issuance of Mitria Cards to your designated Cardholders through our Issuing Bank partner. Cards are issued pursuant to the Issuing Bank's cardholder agreement, which Cardholders must accept before activating their Card.

3.2 Virtual Cards

Virtual Cards are digital payment credentials that can be used for online purchases. Virtual Cards are typically issued immediately upon Cardholder registration and approval.

3.3 Physical Cards (If Applicable)

Physical Cards, if offered, will be shipped to the address provided during registration. Shipping times may vary. Physical Cards must be activated before use according to the instructions provided.

3.4 Cardholder Requirements

Each Cardholder must:

  • Be at least 18 years of age;
  • Be an employee, contractor, or authorized agent of the Company;
  • Provide accurate personal information including legal name and email address;
  • Accept the Cardholder Agreement provided by our Issuing Bank;
  • Comply with all applicable terms, policies, and spending limits;
  • Use the Card only for authorized business purposes.

3.5 Administrator Responsibilities

Administrators are responsible for:

  • Inviting and managing Cardholders;
  • Setting and adjusting Spending Limits;
  • Maintaining the Approved Vendor list;
  • Monitoring Transactions and usage;
  • Promptly removing Cardholders who are no longer authorized;
  • Ensuring compliance with Company policies and these Terms.

3.6 Spending Limits

  • Administrators may set Spending Limits for individual Cardholders, teams, or the Company as a whole;
  • Spending Limits may be set as daily, weekly, monthly, or per-transaction limits;
  • "Hard" limits will result in declined transactions when exceeded;
  • "Soft" limits will generate alerts but may allow transactions to proceed;
  • We reserve the right to impose or modify Spending Limits at our discretion for risk management purposes.

3.7 Card Controls

Administrators have the ability to:

  • Freeze or unfreeze Cards at any time;
  • Terminate Cards immediately upon Cardholder offboarding;
  • Modify Spending Limits;
  • Restrict transactions to Approved Vendors only;
  • View transaction history and Card activity in real-time.

3.8 Card Ownership

All Mitria Cards remain the property of Mitria and/or our Issuing Bank. Cards are non-transferable and may only be used by the designated Cardholder.


4. Approved Vendors and Merchant Restrictions

4.1 Approved Vendor List

The Platform allows Administrators to create and maintain a list of Approved Vendors. When merchant restrictions are enabled, Mitria Cards will only be authorized for transactions at Approved Vendors.

4.2 Default Approved Vendors

We maintain a default list of AI tools and software vendors that are pre-approved for all Accounts. This list includes, but is not limited to:

  • OpenAI (ChatGPT, API services)
  • Anthropic (Claude, API services)
  • Cursor
  • GitHub Copilot
  • Midjourney
  • Stability AI
  • Google AI (Gemini, Vertex AI)
  • Microsoft (Azure OpenAI)
  • Figma (AI features)
  • Notion AI
  • Jasper
  • Copy.ai
  • Replit
  • Vercel (v0, AI features)
  • Other AI and developer tool vendors as determined by Mitria

4.3 Custom Approved Vendors

Administrators may add or remove vendors from their Company's Approved Vendor list, subject to our policies. We reserve the right to reject or remove any vendor from the Approved Vendor list at our discretion.

4.4 Merchant Category Codes

Transactions may be restricted based on Merchant Category Codes (MCCs) in addition to specific merchant names. We make reasonable efforts to ensure accurate merchant categorization, but we are not responsible for merchant miscategorization by Card Networks.

4.5 Declined Transactions

Transactions at non-approved vendors or exceeding Spending Limits will be declined. We are not responsible for any consequences resulting from declined transactions, including but not limited to service interruptions, late fees, or failed subscriptions.


5. Billing and Payment

5.1 Platform Fee

You agree to pay the Platform Fee as set forth in your subscription plan. Platform Fees are billed monthly in advance and are non-refundable except as expressly provided in these Terms.

5.2 Transaction Billing

  • Mitria Cards operate on a post-pay basis. Cardholders make purchases throughout the billing period, and the Company is invoiced for all Transactions at the end of each billing cycle;
  • Billing cycles are monthly, starting from your Account activation date;
  • Invoices will be sent to the email address associated with the Superadmin Account;
  • Payment is due within fifteen (15) days of invoice date unless otherwise specified.

5.3 Payment Methods

You must provide and maintain a valid payment method (bank account via ACH, wire transfer, or other approved methods) for paying invoices. You authorize us to charge your designated payment method for all fees and charges incurred.

5.4 Late Payments

  • Invoices not paid within the specified period will be considered past due;
  • We may charge interest on past due amounts at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower;
  • We may suspend or terminate your Account and freeze all Cards for non-payment;
  • You are responsible for all costs of collection, including reasonable attorneys' fees.

5.5 Disputed Charges

If you believe any charge is incorrect, you must notify us in writing within thirty (30) days of the invoice date. Failure to dispute within this period constitutes acceptance of the charges.

5.6 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, including sales tax, use tax, VAT, and other similar taxes, excluding taxes based on our net income.

5.7 Rewards Program

  • Eligible Transactions may earn Rewards as specified in your subscription plan (e.g., 2% cash back on qualifying AI tool spend);
  • Rewards are applied as statement credits to your Account;
  • We reserve the right to modify, suspend, or terminate the Rewards program at any time with thirty (30) days' notice;
  • Rewards have no cash value and are not transferable;
  • Rewards may be forfeited if your Account is terminated for violation of these Terms;
  • Rewards calculations are final and determined at our sole discretion.

6. Prohibited Uses and Businesses

6.1 Prohibited Uses

You agree not to use the Services or Mitria Cards:

  • For any personal, non-business purposes;
  • For any illegal activity or in violation of any applicable laws or regulations;
  • To make purchases from merchants or vendors that are not related to legitimate business purposes;
  • To circumvent Spending Limits, merchant restrictions, or other controls;
  • For cash advances, money orders, wire transfers, or cryptocurrency purchases;
  • To make payments to yourself, your employees (as compensation), or related parties in a fraudulent manner;
  • For gambling, gaming, or wagering activities;
  • For adult entertainment or services;
  • To purchase controlled substances, illegal drugs, or drug paraphernalia;
  • For any transaction that would violate Card Network rules;
  • To defraud Mitria, our Issuing Bank, or any third party;
  • For money laundering, terrorist financing, or other financial crimes;
  • To create fraudulent disputes or chargebacks;
  • To share Card credentials with unauthorized individuals.

6.2 Prohibited Businesses

The following types of businesses are not eligible to use the Services:

  • Businesses engaged in illegal activities;
  • Adult entertainment or services;
  • Gambling, gaming, or lottery services;
  • Weapons, ammunition, or explosives;
  • Cannabis or CBD products (regardless of legality in your jurisdiction);
  • Cryptocurrency exchanges or trading platforms;
  • Money service businesses or payment facilitators;
  • Pyramid schemes or multi-level marketing;
  • Counterfeit goods or intellectual property infringement;
  • Any business on the Card Networks' prohibited merchant lists;
  • Any business we determine, in our sole discretion, presents unacceptable risk.

7. Transaction Disputes and Chargebacks

7.1 Unauthorized Transactions

If you believe a Transaction was unauthorized, you must notify us immediately, and no later than sixty (60) days after the Transaction appears on your statement. Failure to timely report may limit your rights and our ability to investigate.

7.2 Merchant Disputes

For disputes regarding the quality, delivery, or other issues with goods or services purchased, you should first attempt to resolve the matter directly with the merchant. If unable to resolve, you may initiate a dispute through the Platform.

7.3 Dispute Process

  • To initiate a dispute, contact us through the Platform or at support@mitria.ai;
  • Provide all relevant information and documentation;
  • We will investigate and determine the appropriate resolution;
  • Disputes are subject to Card Network rules and timelines;
  • Provisional credits may be issued during the investigation at our discretion.

7.4 Fraudulent Disputes

You agree not to initiate disputes for Transactions that you authorized or for goods/services that you received. Fraudulent disputes may result in immediate Account termination and legal action.

7.5 Chargeback Liability

You are responsible for all chargebacks and disputes associated with your Account. If a chargeback is determined to be invalid or fraudulent, you will be responsible for the Transaction amount plus any associated fees.


8. Data, Privacy, and Security

8.1 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

8.2 Data Collection

We collect and process data related to your use of the Services, including:

  • Company and Administrator information;
  • Cardholder information;
  • Transaction data and history;
  • Usage patterns and analytics;
  • Communications with our support team.

8.3 Data Use

We use collected data to:

  • Provide and improve the Services;
  • Process Transactions and manage your Account;
  • Detect and prevent fraud;
  • Generate insights, reports, and benchmarking data;
  • Communicate with you about your Account;
  • Comply with legal obligations.

8.4 Aggregated Data

We may create aggregated, anonymized data from your usage for benchmarking, analytics, and service improvement purposes. This data will not identify you or your Company.

8.5 Data Security

We implement industry-standard security measures to protect your data, including:

  • Encryption of data in transit and at rest;
  • Secure data centers with physical access controls;
  • Regular security audits and penetration testing;
  • Employee access controls and training;
  • PCI-DSS compliance for payment data.

8.6 Your Security Obligations

You are responsible for:

  • Maintaining the security of your Account credentials;
  • Ensuring Cardholders protect their Card information;
  • Promptly reporting any security incidents;
  • Complying with any security requirements we communicate.

8.7 Data Retention

We retain your data for as long as your Account is active and for a period thereafter as required by law or legitimate business purposes. You may request deletion of your data subject to our legal obligations.


9. Intellectual Property

9.1 Our Intellectual Property

The Services, including the Platform, software, website, logos, designs, text, graphics, and all other content ("Mitria IP"), are owned by or licensed to Mitria and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes in accordance with these Terms.

9.2 Restrictions

You may not:

  • Copy, modify, or distribute any Mitria IP;
  • Reverse engineer, decompile, or disassemble the Services;
  • Remove any copyright, trademark, or proprietary notices;
  • Use the Services to create a competing product;
  • Sublicense, sell, or transfer your rights to use the Services;
  • Use our name, logo, or trademarks without prior written consent.

9.3 Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our products and services without any obligation to you.


10. Third-Party Services

10.1 Third-Party Providers

The Services rely on third-party providers, including our Issuing Bank, Card Networks, and other service providers. Your use of the Services is subject to the terms and policies of these third parties.

10.2 Issuing Bank

Mitria Cards are issued by our Issuing Bank partner. Cardholders must agree to the Issuing Bank's cardholder agreement. In the event of a conflict between these Terms and the Issuing Bank's terms, the Issuing Bank's terms will govern with respect to Card issuance and use.

10.3 Card Networks

Transactions are processed through Card Networks (e.g., Visa, Mastercard). Your use of the Cards is subject to Card Network rules and regulations.

10.4 Linked Services

The Platform may integrate with third-party services (e.g., accounting software, communication tools). Use of linked services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

10.5 No Endorsement

Reference to any third-party products, services, or vendors does not constitute an endorsement by Mitria.


11. Disclaimers

11.1 "As Is" Basis

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11.2 No Guarantee

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE;
  • ANY ERRORS IN THE SERVICES WILL BE CORRECTED;
  • THE SERVICES WILL BE COMPATIBLE WITH YOUR SYSTEMS OR SOFTWARE.

11.3 Transaction Processing

WE DO NOT GUARANTEE THAT ANY TRANSACTION WILL BE APPROVED OR PROCESSED. TRANSACTIONS MAY BE DECLINED FOR VARIOUS REASONS, INCLUDING SPENDING LIMITS, MERCHANT RESTRICTIONS, CARD NETWORK RULES, OR ISSUING BANK POLICIES.

11.4 Third-Party Actions

WE ARE NOT RESPONSIBLE FOR THE ACTIONS, PRODUCTS, OR SERVICES OF THIRD PARTIES, INCLUDING MERCHANTS, VENDORS, CARD NETWORKS, OR OUR ISSUING BANK.

11.5 Financial Advice

THE SERVICES, INCLUDING ANY INSIGHTS, BENCHMARKING, OR REPORTS, ARE FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, TAX, OR LEGAL ADVICE.


12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MITRIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • DAMAGES RESULTING FROM ANY THIRD-PARTY CONDUCT OR CONTENT;
  • DAMAGES RESULTING FROM SERVICE INTERRUPTIONS OR DOWNTIME;

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL PLATFORM FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000).

12.3 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.


13. Indemnification

13.1 Your Indemnification Obligations

You agree to defend, indemnify, and hold harmless Mitria, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services;
  • Your violation of these Terms;
  • Your violation of any applicable laws or regulations;
  • Your violation of any third-party rights;
  • Any unauthorized use of your Account or Cards;
  • Any Transactions made using your Cards;
  • Any disputes between you and your Cardholders;
  • Any false or misleading information you provide;
  • Your failure to comply with security requirements.

13.2 Indemnification Procedure

We will provide you with prompt notice of any claim subject to indemnification. You may not settle any claim without our prior written consent if the settlement would impose any obligation on us or admit any fault on our part.


14. Termination

14.1 Termination by You

You may terminate your Account at any time by providing written notice to us. Upon termination:

  • All Cards will be immediately deactivated;
  • All outstanding balances become immediately due and payable;
  • Any unused prepaid amounts are forfeited;
  • Accrued Rewards may be forfeited at our discretion.

14.2 Termination by Us

We may suspend or terminate your Account at any time for any reason, including but not limited to:

  • Violation of these Terms;
  • Suspected fraud or illegal activity;
  • Non-payment of fees or charges;
  • At the request of our Issuing Bank or Card Networks;
  • Extended period of inactivity;
  • Discontinuation of the Services;
  • Any reason we deem necessary to protect Mitria, our partners, or other users.

14.3 Effect of Termination

Upon termination:

  • Your right to use the Services immediately ceases;
  • All Cards are deactivated;
  • You must pay all outstanding amounts within fifteen (15) days;
  • We may retain your data as required by law or legitimate business purposes;
  • Provisions that by their nature should survive termination will survive.

14.4 Survival

The following sections survive termination: Definitions, Billing and Payment (for amounts owed), Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and General Provisions.


15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact us at legal@mitria.ai and attempt to resolve the dispute informally for at least thirty (30) days.

15.2 Arbitration Agreement

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California, unless otherwise agreed.

15.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.


16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Mitria regarding the Services and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

16.5 Notices

We may provide notices to you via email to the address associated with your Account, through the Platform, or by posting on our website. Notices to us must be sent to legal@mitria.ai or by mail to our principal place of business.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, government actions, pandemics, or infrastructure failures.

16.7 Independent Contractors

The relationship between you and Mitria is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.

16.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except that our Issuing Bank and Card Networks are intended third-party beneficiaries of relevant provisions.

16.9 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

16.10 Language
